TERMS OF USE

          Article 1 [Scope of Application of these Terms]
          These Terms (hereinafter referred to as “these Terms”) shall apply to Member participating in the service related to Point Affiliate Program provided in “BOOK✰WALKER” Global Store(hereinafter referred to as “Platform”) operated by BOOK WALKER Co., Ltd. (hereinafter referred to as “Company”).

          Article 2 [Definitions]
          Definitions of terms used in these Terms shall be as follows.
          (1)“Terms of Use” mean “Terms of Use of BOOK✰WALKER” applied where customers use services provided on the Platform.
          (2)“The Service” collectively means any services furnished to users through the Platform.
          (3)“Distribution Service” means, out of the Service, the service of electronic book distribution.
          (4)“Global Point (USD) Affiliate Program” means, out of the Service, the service granting Global Points (USD)  which can be used in the Distribution Service where the conditions provided for in these Terms are satisfied.
          (5)“Member” means a customer who consented to Terms of Use and completed the procedures for Member registration. In this regard, Member may not hold multiple member qualifications.
          (6)“Participant” means Member participating in the Global Point (USD) Affiliate Program.
          (7)“Account” collectively means ID, e-mail address, password, gender, month and year of birth and any other information furnished in Member registration.

          Article 3 [Consent to Terms, etc.]
          1.Participant may use the Global Point (USD) Affiliate Program after thoroughly reading and understanding Terms of Use and these Terms and consenting to all the content thereof. The Company shall consider that Participant has thoroughly read and understood Terms of Use and these Terms and has consented to all the content thereof by the start of use of the Global Point (USD) Affiliate Program.
          2.In use of the Global Point (USD) Affiliate Program, if the Company determines the conditions for use and precautions, etc., (hereinafter referred to as “Conditions for Use, etc.”) other than these Terms, Participant shall comply with the Conditions for Use, etc., as constituting part of these Terms. The provisions of these Terms and the Conditions for Use, etc., shall be based on Japan Time.

          Article 4 [Conditions of Participant]
          In order to participate in the Global Point (USD) Affiliate Program, it is necessary to become Member of the Service by registering as Member of the Service and establishing Account in accordance with Terms of Use.

          Article 5 [Change in Registered Matters]
          1.If there are any changes to his/her registered Account, Participant shall promptly take the procedures for change to always reflect a true and correct Account.
          2.If Participant incurs any disadvantage due to not taking the procedures for change in Account, the Company shall assume no responsibility or obligation.

          Article 6 [Management of Account, etc.]
          1.Participant shall manage and use his/her Account with the care of a good manager and shall not allow any third party to use it.
          2.If Participant divulges or lost his/her Account or becomes aware that the Account was used by third parties, Participant shall immediately notify the Company to that effect and if the Company gives any instructions on measures to be taken, Participant shall follow them.
          3.The Company shall assume no responsibility or obligation for the damages incurred by Participant due to the use of his/her Account by a third party, except for cases due to intention or negligence of the Company. The Company shall regard the use of the Global Point (USD) Affiliate Program for his/her Account as being used by him/her.

          Article 7 [Handling of Personal Information]
          If the Company receives personal information from Participant under the Global Point (USD) Affiliate Program, the Company shall handle it properly and lawfully based on the privacy policy of the Company below.

          Article 8 [License and Limitation of Rights]
          1.Participant shall, in use of the Global Point (USD) Affiliate Program, faithfully comply with these Terms and the Conditions for Use, etc. (hereinafter collectively referred to as “these Terms, etc.”).
          2.Users shall not share with third parties or assign, lend or pledge, etc., to third parties any rights under these Terms, etc.
          3.Any and all rights, including intellectual property rights in the content, etc., provided in the Global Point (USD) Affiliate Program and documents, photos, illustrations, animation and any other content displayed on the Platform shall belong to the Company or a third party holding such rights.

          Article 9 [Global Point (USD) Affiliate Program]
          1.The Company shall, at Participant’s request, provide Participant with the Distribution Service or the prescribed URL of the content handled in the Distribution Service (hereinafter referred to as “Introduction Link”) by the method separately designated by the Company.
          2.Participant shall use the Introduction Link provided under the preceding paragraph in accordance with these Terms and shall not use or divert the Introduction Link for any purpose other than the Global Point (USD) Affiliate Program.
          3.Participant may disclose the Introduction Link by posting on SNS services (including but not limited to Facebook and Twitter, etc.) in the name of Participant or the blogs.
          4.By introducing the content of the Distribution Service to Member other than Participant (hereinafter referred to as “Other Member”) by the method under the preceding paragraph, Participant may, in consideration of the introduction, receive Global Points (USD) Point which can be used only in the Distribution Service in accordance with Article 10 and Article 11.

          Article 10 [Accrual and Granting of Global Points (USD)]
          1.Global Points (USD) to be granted to Participant shall accrue when Other Member purchased the content in the Distribution Service after Other Member clicked the Introduction Link disclosed by Participant.
          2.Notwithstanding the preceding paragraph, in the case of any of the items below, Global Point (USD) shall not be granted.
          (1) Where Participant clicked the Introduction Link posted by him/her and purchased the content.
          (2) Where settlement was not completed within six (6) days from the date of clicking the Introduction Link.
          (3)Where the content was purchased after clicking multiple Introduction Links and Participant is not one who posted the last Introduction Link that Other Member clicked.
          (4) Where the browser displaying the Service, clicking the Introduction Link and the browser used for the purchase of the content are different.
          (5)Where the content was purchased in iOS application of the Platform.
          (6)Where Participant was deprived of qualification as Member of the Service.
          (7)Where Participant breached Terms of Use or these Terms, etc.
          (8)Where it cannot be recognized as eligible for granting of Global Points (USD) by the causes not ascribable to the Company.
          (9)In addition to each item above, where Participant breached the conditions for use.
          3.The amount of Global Points (USD) under paragraph 1 shall be 3% of the amount settled in the purchase of the content (which refers to the amount after application of the coupon if coupon is used for purchase and the amount of consumption tax shall not be included) by Other Member under the same paragraph; provided, however, that if it is otherwise provided for in the Conditions for Use, etc., the amount of Points shall be calculated in accordance with such provision.
          4.If a fraction after the decimal point accrues in the amount of Global Points (USD) calculated under the preceding paragraph, the amount of Global Points (USD) shall be calculated by rounding down the fraction after the second point.
          5.The Company shall assume no liability other than Global Points (USD) granted eligible under this Article in consideration of introduction by Participant and the Company shall not be obligated to pay money, provide, or assign, etc., content, goods, articles, etc.

          Article 11 [Time of Granting of Global Point (USD)Point]
          1.The Company shall close and calculate the amount of Global Points (USD) in a month at the end of every month under paragraph 3 of the preceding Article and shall grant to Participant Global Points (USD) within about ten (10) business days in the following month.
          2.Participant can confirm the amount and the time of granting of Global Points (USD) on My Page on the Platform.
          3.Expiry date of Global Points (USD) shall be in accordance with the Conditions for Use, etc.

          Article 12 [Prohibition of Posting of Introduction Link]
          1.Participant shall not post the Introduction Link on such media as websites falling under any of the items below (hereinafter referred to as “Website, etc.”).
          (1)Website, etc., that violates Terms of Use or these Terms, etc.
          (2)Website, etc., that facilitates or promotes criminal acts or Website, etc., that violates the public order and good morals.
          (3)Website, etc., that defames third parties or displays discriminatory expressions.
          (4)Website, etc., that posts adult content, grotesque content and any other expressions, information and content, etc., that violate sound social conventions and detract from moral character.
          (5)Website, etc., that infringes the rights (including but not limited to copyrights, trademark rights and portrait rights, etc.), profit and honor of the Company or third parties or Website, etc., that may infringe the same.
          (6)Any other Website, etc., which is determined to be inappropriate by the Company.
          2.If Participant violates any of the items of the preceding paragraph, the Company may deprive such Participant of qualification as Participant or suspend use of the Global Point (USD) Affiliate Program without giving notice or notification and also may deprive such Participant of qualification as Member of the Service.
          3.If the Company or a third party incurs any damages due to the breach of each item of paragraph 1 by Participant, Participant shall be responsible for compensation for such damages against the Company or a third party.

          Article 13 [Prohibited Acts, Suspension or Revocation of Qualification for Use]
          1.In use of the Global Point (USD) Affiliate Program, Participant shall not commit any acts set forth in each item below.
          (1)Acts contrary to public order and morals.
          (2)Acts that violate laws, regulations and orders, etc., or acts that may violate the same.
          (3)Acts that infringe the rights (including but not limited to copyrights, trademark rights and portrait rights, etc.), profit and honor of the Company or third parties or acts that may infringe the same.
          (4)Acts of using or providing harmful programs, including computer viruses, etc., through the Service (including spamming).
          (5)Acts that breach Terms of Use or these Terms, etc.
          (6)Acts of registering false information as an Account.
          (7)Acts of using the Global Point (USD) Affiliate Program for the purpose or by the method that may cause damage to the Company, other Participant, Member or third parties.
          (8)Acts that disrupt operation of the Global Point (USD) Affiliate Program regardless of the reason or means.
          (9)Any other acts that are determined to be inappropriate by the Company.
          2.If Participant fall under any of the events set forth in each item of the preceding paragraph, paragraph 2 and paragraph 3 of the preceding Article shall apply mutatis mutandis.

          Article 14 [Indemnification]
          1.Participant shall use the Global Point (USD) Affiliate Program at his/her responsibility and the Company shall assume no responsibility or obligation for the Global Point (USD) Affiliate Program and its use and results, except for the matters caused by intention or negligence of the Company.
          2.If any dispute arises between Participant and Other Member (if Other Member is Participant, including such Participant and the same shall apply in this paragraph) from the use of the Global Point (USD) Affiliate Program by Participant, the Company shall assume no responsibility and will not be involved and Participant shall resolve the dispute with Other Member at his/her responsibility.

          Article 15 [Suspension and Interruption of Service, etc.]
          1.In the event of each item below, the Company may suspend or interrupt all or part of the Global Point (USD) Affiliate Program.
          (1)In the event that the Company regularly or urgently conducts maintenance, inspection or update of the system to provide the Global Point (USD) Affiliate Program.
          (2)In the event that operational or technical unavoidable events occur such as failure of the system or interruption of communication lines to provide the Global Point (USD) Affiliate Program.
          (3)In the event that it is difficult to provide the Global Point (USD) Affiliate Program due to disaster such as fire, power failure, earthquake, flood, tsunami, etc.
          2.If the Company suspends or interrupts all or part of the Global Point (USD) Affiliate Program under the preceding paragraph, the Company shall give prior notice to Participant on the Service; except for urgent and unavoidable cases.
          3.If any damages occur to Participant or third parties due to suspension or interruption of the Global Point (USD) Affiliate Program, the Company shall assume no responsibility for compensation for such damages; except for cases due to intention or negligence of the Company.

          Article 16 [Change in Content of Service]
          The Company may change the content, name and any other conditions for provision of the Global Point (USD) Affiliate Program without prior notice to Participant.

          Article 17 [Procedures for Withdrawal]
          If Participant desires to withdraw from Member of the Service, Participant shall take the procedures for withdrawal based on Terms of Use and the procedures separately determined by the Company. If Participant has withdrawn from Member of the Service, Participant shall lose qualification as Participant and can no longer use part of the Service.

          Article 18 [Termination of Service]
          1. The Company may terminate provision of all or part of the Global Point (USD) Affiliate Program after setting up a reasonable announcement period to the extent possible and posting a prior notice on the Service.
          2. If Participant or a third party suffers from any disadvantage due to termination of provision of all or part of the Global Point (USD) Affiliate Program, the Company shall assume no responsibility.

          Article 19 [Change to these Terms]
          1. The Company may change these Terms at the Company’s convenience. In the event that the Company change or terminates the provision of the Service, the Company shall notify the user in advance on the Service. Please note that prior notice shall be given within a reasonable period of time, taking into account the impact it will have on Members.
          2. The Company shall not be liable for any damages incurred by Members as a result of the changes or termination of the Service .

          Article 20 [Governing Law]
          These Terms, etc., and the Global Point (USD) Affiliate Program shall be governed by and interpreted in accordance with the laws of Japan.

          Article 21 [Court of Exclusive Jurisdiction by Agreement]
          If any doubt or dispute arises with Participant about the Global Point (USD) Affiliate Program or these Terms, etc., the parties shall have consultations in good faith. If the issue is not resolved through consultations, the Tokyo District Court shall be the court of exclusive jurisdiction by agreement for the first instance.
